Introduction

1. This Agreement constitutes a legally binding contract between each user - whether a licensed real estate brokerage company or an individual Customer - and the Platform and governs the terms and conditions of using the Platform and the electronic services it provides, including the listing of properties, publishing related content, and facilitating communication with advertising real estate companies. 2. By accessing, registering with, or continuing to use the Platform, you expressly consent to being fully and unconditionally bound by all the provisions of this Agreement, including any updates, appendices, or related policies issued by the Platform, all of which shall form an integral part hereof. 3. The Platform is committed to operating by the applicable laws and regulations of any country or jurisdiction where the Platform provides its services, all users are required to carefully read this Agreement before using the Platform, as acceptance thereof is a fundamental condition for benefiting from any of the Platform’s services. 4. By using this Website, you agree to comply with the Terms of Use and the Privacy Policy (collectively referred to as the "Terms"), all applicable laws and regulations, and confirm that you are responsible for complying with any local laws. 5. These Terms shall be effective between you and us from the moment you accept them, and your acceptance is confirmed through your use of the Website.

Section 1: Definitions

For the purposes of these Terms and Conditions, the words and phrases set forth below shall have the meanings assigned to them unless the context requires otherwise. These definitions form an integral part of this document and are used to clarify the rights and obligations of all parties when using the Website. "PPortal Electronic Marketing," "Website", "Platform", "We", "Us", or "Our" refers to the website www.pportal.net, Pportal Electronic Marketing for Digital Marketing, its branches, employees, agents, affiliates, or assignees. "User," "You," or "Your" refers to any natural or legal person who uses the Platform for any lawful purpose, whether to browse real estate listings or to communicate with the listed real estate companies. "Customer" refers to any User of the Platform who is searching for a property to buy or rent and contacts the listed real estate companies. "Real Estate Company" or "Brokerage Firm" refers to any licensed entity registered on the Platform for the purpose of listing its properties for sale or rent. "Services" refers to the electronic brokerage services provided through the Platform, including property listing, publishing property-related data, and connecting Customers with the listed Real Estate Companies. "Account" refers to the account assigned to each Real Estate Company on the Platform, through which the company can add and manage its property listings. "Property Content" refers to all information, data, images, and media associated with the properties listed on the Platform. "Subscription" refers to the monetary fee paid by Real Estate Companies in exchange for the right to access and use the Platform to list their properties. "Law" refers to all applicable laws and regulations in any country or jurisdiction where the Platform provides its services, including but not limited to real estate laws, e-commerce laws, consumer protection laws, and data protection laws. "Agreement" refers to these Terms and Conditions governing the use of the Platform, including any updates, annexes, or related policies issued by the Platform, and shall be binding upon all Users upon their use of the Platform or any of its Services.

Section 2: Our Services

1. The Platform shall operate as an electronic intermediary for listing properties provided by licensed real estate brokerage firms, by offering these companies a digital space to display their property advertisements on the Platform, including all related property data, images, and media. 2. The Platform's services shall be strictly limited to connecting Users with the listed Real Estate Companies. The Platform shall not be involved in any manner in the negotiations, agreements, contracts, or sale or lease transactions that take place between the Customer and the Real Estate Company, whether such transactions occur on or off the Platform. 3. The Platform does not own any of the listed properties, nor does it advertise them on its own behalf. All listings are published by the registered Real Estate Companies, which shall be solely responsible for the accuracy and truthfulness of the information and content displayed. 4. The Platform’s services shall include the provision of dedicated accounts for Real Estate Companies, enabling them to manage their property content, update property data, and add or remove listings in accordance with the applicable Subscription terms. 5. The Platform provides its services in exchange for a monthly Subscription fee paid by Real Estate Companies. The Platform does not charge any commissions or fees to Customers or on any real estate transactions resulting from the use of the Platform. 6. The Platform reserves the right to modify or update the services provided or how they are delivered, at any time and at its sole discretion, as it deems appropriate to develop and enhance the user experience. Your continued use of the services following the entry into force of any updates shall constitute your acceptance of the revised version and your agreement to any such changes. You further waive any right to receive specific notice of these changes, as you are solely responsible for regularly reviewing these Terms of Use.

Section 3: Scope of the Agreement

1. This Agreement shall govern the legal relationship between the Platform and the User, and shall include the use of the Platform and its electronic services related to the display of real estate properties and linking Customers with the advertising real estate companies. 2. This Agreement shall encompass all activities, uses, and transactions conducted through the Platform, and your use of the Platform shall constitute a full and binding electronic acceptance of all the terms and conditions of this Agreement. This Agreement shall apply to all relationships between the Users and the Platform, and shall cover all services and functionalities provided through the Platform without exception. 3. This Agreement shall not create any contractual or commercial relationship between the User and the Platform concerning real estate sale or lease transactions, as the Platform’s responsibility shall be limited to providing electronic brokerage services only, without any interference in the contractual dealings between the Customer and the real estate company. 4. This Agreement shall be governed by and construed in accordance with the laws and regulations applicable in the State of Qatar, and continued use of the Platform shall be deemed implicit acceptance of all obligations and terms contained herein.

Section 4: Legal Capacity

1. To use the Platform, the user shall possess full legal capacity in accordance with the laws in force in their country of residence, and shall be at least eighteen (18) years of age at the time of using the Platform. 2. You shall not use the Platform, nor shall you accept this Agreement, if: (a) you are under the age of eighteen (18); or (b) you are legally prohibited from accessing or using the Platform under any applicable law in the country in which you reside or through which you access the Platform. 3. By using the Platform, you represent and warrant that you have full legal capacity to act and to be bound by the terms and conditions of this Agreement, and that no legal restriction prevents you from using the Platform or its services.

Section 5: Subscription Policy

1. The Platform operates on a paid monthly subscription model, under which licensed real estate brokerage companies are granted access to use the Platform and publish their property listings in accordance with the terms of this Agreement. 2. Subscription fees are determined based on the packages or plans offered by the Platform. The Platform reserves the right to modify or update such fees at any time without the need to notify real estate companies prior to the effective date, provided that such changes shall not apply during the term of any agreement made prior to the effective date of the amendments. Continued use of the Platform after such notice shall constitute implicit acceptance of the modifications. 3. The Real Estate Company shall be bound to pay the subscription fees in accordance with the selected plan and within the specified timeframes. All paid fees shall be non-refundable, whether in whole or in part, unless the Platform explicitly states otherwise. 4. The Platform shall not charge any fees or commissions to Customers for using the Platform or for communicating with the Advertising Real Estate Companies. The financial obligation shall be borne solely by the Real Estate Brokerage Companies. 5. The Platform reserves the right to suspend or deactivate the account of any Real Estate Company in the event of delayed payment or violation of any of the terms of use stipulated in this Agreement. 6. The Platform shall not be held liable for any consequences resulting from the suspension or deactivation of an account due to a breach of the Subscription Policy. The Real Estate Company shall bear full responsibility for ensuring timely payments and compliance with the applicable terms.

Section 6: Account Policy

1. All users, whether licensed real estate brokerage companies or individual Customers, shall be required to create a personal or corporate account on the Platform in order to benefit from its services. Creating an account and accepting the terms of this Agreement shall constitute a necessary step for accessing any feature of the Platform. 2. Each real estate brokerage company, upon creating an account, is required to provide all regulatory information and supporting documents that prove its valid license and lawful business activity by the laws and regulations in force in any country or jurisdiction where the Platform provides its services. The Platform reserves the right to verify such information and to request its update or completion at any time. 3. Each user shall be solely responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. Any action performed through the account shall be deemed to have been made by the account holder unless proven otherwise. 4. Users shall not use their accounts for any unlawful purpose or in a manner that contradicts the terms of this Agreement or applicable laws and regulations of any country or jurisdiction where the Platform provides its services. It is strictly prohibited to assign, lease, or grant the account to any third party without the prior written consent of the Platform. 5. Users shall be bound to keep their account information accurate and up to date, including email address, phone number, and identification data. Real estate brokerage companies shall also be bound to update any changes in their commercial data, licenses, or authorized personnel. 6. The Platform reserves the right to monitor account usage to ensure compliance with this Agreement. The Platform may suspend or terminate any account, in whole or in part, in the event of a violation or suspected unauthorized or unlawful use.

Section 7: Property Listing Policy

1. Only licensed and registered real estate brokerage companies shall be permitted to list properties through their official accounts on the Platform. The listed properties must be either owned by the brokerage company or offered pursuant to valid and enforceable marketing authorization agreements. 2. Each real estate brokerage company shall be bound to provide accurate, correct, and up-to-date information when listing any property on the Platform. Such information shall include, but not be limited to, the property description, location, area, specifications, legal status, price, and any relevant media or visual content. 3. The listing brokerage company shall be solely responsible for the content of the property advertisements it publishes on the Platform, including the accuracy of the data and validity of the supporting documents. The Platform disclaims any and all liability arising from inaccurate or misleading information or from any claims or damages resulting therefrom. 4. The Platform reserves the right to review or remove any property listing that violates the provisions of this Agreement, the applicable laws, or includes misleading information, without prior notice and without incurring any liability or obligation to compensate any party. 5. It is strictly prohibited to list properties that are banned or unauthorized for marketing under the applicable laws and regulations of any country or jurisdiction where the Platform provides its services or relevant regulatory contracts. The use of the Platform for any unlawful purpose or in a manner contrary to public order or morals is likewise prohibited. 6. Real estate companies shall be bound to refrain from publishing any promotional content containing false, exaggerated, or unsubstantiated claims. The Platform shall have the right to request supporting documentation to verify the accuracy of any listing at any time.

Section 8: Real Estate Content Policy

1. All registered real estate brokerage companies on the Platform shall be bound to publish accurate, professional, and realistic real estate content, including but not limited to textual descriptions, titles, photographs, videos, and other media associated with listed properties. 2. All published content shall be owned or duly licensed for use by the advertising company. It is strictly prohibited to use any images or media without obtaining the necessary legal rights, and no copied or reproduced content from other sources may be published without express authorization. 3. The published content shall accurately reflect the actual characteristics of the property being advertised and shall be free from any misleading statements, exaggerations, or implications that may deceive Users, whether explicitly or implicitly. 4. It is prohibited to publish any content that violates applicable laws, public decency, or includes discriminatory, offensive, or unethical expressions, or that contradicts public order or moral standards in any country or jurisdiction where the Platform provides its services. 5. The Platform reserves the full right to review, modify, or remove any real estate content that violates this Policy, the Terms and Conditions, or any applicable laws and regulations of any country or jurisdiction where the Platform provides its services, without prior notice and without incurring any liability for compensation. 6. Brokerage companies shall be bound to update their content regularly and remove any listings that are no longer valid or related to properties no longer available. The Platform may take appropriate measures in the event of non-compliance, including account suspension or publishing restrictions. 7. The advertising company shall bear full legal responsibility for all content it publishes and shall be liable for any harm incurred by the Platform or Users as a result of inaccurate, unlawful, or non-compliant content.

Section 9: Communication Policy Between Parties

1. “Communication between parties” refers to any interaction that occurs between the advertising real estate companies and the Customers, whether through the Platform’s tools or outside of it, and which relates to the real estate listings published via the Platform. 2. Users are permitted to communicate directly outside the Platform regarding real estate listings, provided that such communication is lawful and conducted in accordance with the provisions of this Agreement and the applicable laws and regulations in any country or jurisdiction where the Platform provides its services. 3. The Platform disclaims any and all liability for communications conducted outside its scope, including their content, implications, or any resulting outcomes. This includes, without limitation, verbal understandings, preliminary agreements, or the exchange of documents or personal data. 4. The Platform shall not bear any legal or contractual obligation arising from any negotiation or correspondence between Users that takes place outside the Platform, nor shall it be deemed a party to any agreement reached between the Customer and the real estate company, whether initiated through the Platform or otherwise. 5. Advertising real estate companies shall be bound to use communication methods in a professional and responsible manner, and are strictly prohibited from engaging in any misleading practices or using contact information for unauthorized or unrelated promotional purposes. 6. The Platform reserves the right to take any appropriate action in the event of misuse of communication channels relating to listed properties, including account suspension or termination, without prejudice to any other right available to the Platform under this Agreement or the applicable law.

Section 10: Disclaimer of Liability for Transactions

1. The Platform solely provides an electronic brokerage service for the display of real estate properties and facilitating communication between Users, including Customers and licensed real estate brokerage companies, without participating in any contractual or financial transactions related to sale, lease, or any other arrangement. 2. The Platform shall not be deemed a party to any agreement or transaction concluded between Users, including but not limited to, contracts of sale, lease agreements, payment arrangements, or warranties. Accordingly, the Platform shall bear no legal or financial liability for the consequences of such transactions, including disputes, delays, or breaches of contractual obligations. 3. It is the sole responsibility of each Customer and real estate brokerage company to verify the accuracy of the information, inspect the property subject to the transaction, review the relevant legal documentation, and confirm the legitimacy of the counterparty and its authority to act, prior to concluding any agreement. 4. The Platform disclaims all liability for any direct or indirect loss, damage, or claim arising from any transaction between Users, even if the negotiation or communication between the parties was initiated through the Platform. 5. The Platform makes no express or implied warranties regarding the quality, legality, or accuracy of the listed properties, the content of the advertisements, or the legal or financial capacity of the parties involved. 6. By using the Platform, all Users acknowledge that any transaction carried out between them is solely at their own risk, and they expressly agree to release and hold the Platform harmless from any and all claims, liabilities, or damages arising from or related to such transactions.

Section 11: Use, License, and Restrictions

1. Temporary permission is granted to download one copy of the materials (information or software) on the Website for personal, non-commercial, and temporary viewing only. This is a license grant, not a transfer of ownership. Under this license, you may not: Modify or copy the materials; Use the materials for any commercial purpose or for any public display (commercial or non-commercial); Attempt to decompile or reverse engineer any software on the Website; Remove any copyright or other proprietary notations from the materials; Transfer the materials to another person or "mirror" the materials on any other server. 2. We reserve the right to take any measures we deem necessary to prevent unauthorized access or use of the Website, including but not limited to the use of technological barriers or reporting your behavior to any person or entity. 4. This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time. Upon termination of your viewing or this license, you must destroy any downloaded materials in your possession, whether in printed or electronic format.

Section 12: Your Responsibilities

1. We are not a real estate brokerage firm. We provide a platform through which brokers can market their listings, and you can view property details ("Listings") alongside other hosted and developed content. Brokers and third parties are responsible for creating Listings and responding to your inquiries directly. We are not involved in any communication between you and the brokers and are not a party to any transaction. 2. We maintain Listings in good faith, but these Listings are produced by clients and/or third parties, and we do not verify them. You are responsible for making your own inquiries, and we provide no warranties or assume any liability for the accuracy or completeness of the information in the Listings. You are responsible for verifying, confirming, and ensuring the accuracy of all details, obtaining legal advice before making any purchase or lease, and acting in good faith with any third party. 3. You acknowledge and confirm that your use of our website will always comply with these Terms of Use and any other applicable terms related to your use of our website, including all amendments made under the clause “Site Terms and Amendments to Use.”

Section 13: Limitations

1. Under no circumstances shall we be liable for any damages (including but not limited to loss of data or profits, or business interruption) arising from the use or inability to use the materials on the Website, even if one of our authorized representatives has been notified orally or in writing of the possibility of such damage. 2. The Platform shall not be held liable for any damages or losses resulting from reliance on inaccurate or outdated content. Users are solely responsible for verifying the correctness and suitability of any information prior to making decisions based on such content. 4. The display of any property or material on the Platform does not constitute a binding offer or guarantee, and all such information is subject to verification by the concerned real estate company. 5. The Platform is not obligated to update or maintain the timeliness of any content and may, at its discretion, remove or revise materials without any obligation to notify Users individually. 6. Section 24: Governing Law

These Terms and your access to the Website are governed by the laws of the State of Qatar, and you agree to submit exclusively to the jurisdiction of its courts. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain valid and enforceable.

This Agreement has been drafted in the Arabic language. In the event that you or the Platform translate it into any other language and a conflict arises between the Arabic text and the translated version, the Arabic text shall prevail and take precedence over the translated version. The Arabic text shall be the authoritative version before all governmental and non-governmental entities and the competent courts.
